Terms & Conditions

1. Definitions

• “Xenie,” “we,” “us” – BranchX India Limited and its product Xenie.
• “User,” “you” – Any person or entity using the Services.
• “Services” – Xenie software, apps, APIs, and related modules.
• “Account” – A registered user profile.
• “Subscription” – Paid plans offered by us.

2. Acceptance of Terms

By registering or using Xenie, you agree to these Terms. If you disagree, stop using the Services.

3. Eligibility & Account

• You must be 18+ and legally capable.
• Provide accurate and updated details.
• You are responsible for your login credentials and activities under your Account.

4. License & Use

• Granted a limited, revocable, non-transferable license to use the Services.
• Prohibited: reverse engineering, unauthorized copying, sublicensing, hacking, or unlawful use.

5. Fees & Payments

• Fees are payable in advance at the start of each billing cycle — monthly, annually, or for a three-year term (where offered).
• All fees exclude applicable taxes (GST).
• No refunds for partial billing periods unless stated otherwise.
• Non-payment may result in suspension or termination.

6. Data & Ownership

• You retain ownership of your business, customer, and transaction data.
• We act as a processor to deliver Services.
• We may collect anonymized insights for improvements.
• We are authorised to share data with Statutory Authorities without prior notice.

7. Intellectual Property

• All IP rights in Xenie remain with BranchX.
• You may not use trademarks or branding except as permitted.

8. Availability & Support

• We aim for high uptime but do not guarantee uninterrupted access.
• Services may be suspended for maintenance or upgrades.
• Support depends on your subscription plan.

9. Termination, Suspension & Notice

• 9.1 Term & Renewal: Continues for your subscription cycle; renews automatically unless terminated.
• 9.2 By User: You may terminate with 30 days’ prior notice.
• 9.3 By Xenie: We may terminate with 30 days’ prior notice.
• 9.4 For Breach: Either party may terminate for breach after 15–30 days’ cure period, or immediately in case of severe breach (fraud, misuse, security risks).
• 9.5 Suspension: We may suspend accounts for non-payment, abuse, or legal reasons.
• 9.6 Post-Termination: You may export your data before deletion; we may retain records required by law.
• 9.7 Inactive Accounts: Accounts that remain inactive (i.e. no login or transaction activity) for 12 months may be deactivated after 30 days’ prior notice, with an option to re-activate during that period.
• 9.8 Fees: Termination does not waive payment obligations; refunds not provided.
• 9.9 Service Discontinuation: If Services are permanently discontinued, we will give 60 days’ prior notice to allow data export.

10. Disclaimers

• Services are provided “as is”, without warranties of any kind.
• We do not guarantee uninterrupted, error-free operation.

11. Limitation of Liability

• We are not liable for indirect, incidental, or consequential damages.
• Our liability is capped at fees paid by you in the preceding 12 months.

12. Indemnity

You agree to indemnify BranchX against claims or losses arising from your misuse of the Services or breach of these Terms.

13. Governing Law & Jurisdiction

These Terms are governed by Indian law. All disputes shall be subject to the exclusive jurisdiction of courts in Navi Mumbai, Maharashtra, India.

14. Miscellaneous

• Severability: Invalid provisions do not affect the rest.
• Entire Agreement: These Terms and the Privacy Policy constitute the whole agreement.
• Waiver: Non-enforcement does not waive rights.
• Assignment: You cannot assign your rights; we may assign ours.
